4.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance.

5. User Obligations and Responsibilities

5.1 Compliance Requirements

Users must:

  • Comply with all applicable Indian laws and regulations
  • Adhere to RBI guidelines and directives
  • Follow KYC/AML compliance requirements
  • Maintain accurate business and financial records
  • Report suspicious activities promptly

5.2 Prohibited Activities

Users are strictly prohibited from:

  • Processing payments for illegal goods or services
  • Engaging in fraudulent or deceptive practices
  • Money laundering or terrorist financing
  • Processing payments without proper authorization
  • Manipulating transaction data or reports
  • Attempting to reverse engineer our systems
  • Using our Services for cryptocurrency transactions (unless explicitly permitted)

6. Fees and Charges

6.1 Service Fees

Our fees are clearly displayed on our website and in your merchant agreement. Fees may include:

  • Transaction processing fees
  • Setup and onboarding fees
  • Monthly subscription fees
  • Chargeback and dispute handling fees
  • Settlement and payout fees

6.2 Fee Changes

We reserve the right to modify our fee structure with 30 days' prior notice. Continued use of our Services after fee changes constitutes acceptance.

7. Payment Terms and Settlement

7.1 Settlement Process

  • Settlements are processed according to your merchant agreement
  • Standard settlement cycle is T+1 to T+3 business days
  • We may hold funds for risk management purposes
  • All settlements are subject to successful transaction verification

7.2 Chargebacks and Disputes

Users are responsible for handling customer disputes and chargebacks. We provide tools and support but ultimate liability rests with the merchant.

8. Data Protection and Privacy

We are committed to protecting your privacy and personal data in accordance with applicable Indian data protection laws. Please refer to our Privacy Policy for detailed information about data collection, processing, and storage.

9. Intellectual Property Rights

9.1 Our IP Rights

All content, trademarks, service marks, logos, and intellectual property associated with TreatyPay are owned by BAGUVIX TECHNOLOGIES PRIVATE LIMITED or licensed to us.

9.2 User-Generated Content

By using our Services, you grant us a limited license to use, process, and display content necessary for providing our Services.

10. Limitation of Liability

To the maximum extent permitted by Indian law:

  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

12. Termination

You may terminate your account at any time by providing 30 days' written notice. Outstanding obligations will survive termination.

12.2 Termination by TreatyPay

We may terminate or suspend your account immediately if:

  • You violate these Terms
  • Your account poses security or compliance risks
  • Required by law or regulatory authorities
  • Your business activities become prohibited

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by Indian law and subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.

13.2 Arbitration

Disputes may be resolved through arbitration under the Arbitration and Conciliation Act, 2015, conducted in Bangalore.

14. Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.

15. Amendments and Updates

We may update these Terms periodically. Material changes will be communicated through email or website notifications. Continued use constitutes acceptance of updated Terms.

16. Severability
